一份OfferLetter,简单又复杂。说它简单,是因为它不过是表示录用的书面材料而已;说它复杂,是由于包括内容众多,且大多是在校学生们所知甚少的。往往是满怀欣喜打开OfferLetter,结果却看得一头雾水。
还是先来看看一份JobOffer到底包含些什么吧。
最醒目的当然是底薪(BaseSalary),这与你的学历、经历以及能力等综合因素息息相关。
其次是奖金(Bonus)。OfferLetter上面会列出基本的比例系数,比如10%,也就是说奖金的基本值就是你底薪的10%,然后根据公司和个人每年Performance的状况,由公司来决定每年(或半年)度的奖金系数。公式是:个人年度奖金=个人底薪x基本奖金系数xPerformance系数。年景有好坏之分,但公司通常的奖金系数范围还是比较固定的,特别是对于有些底薪不高的公司,往往以高于同侪的奖金来吸引人才。作为参考,奖金高的能达到年薪的45%以上,低的甚至没有。
然后是签约奖金(SignonBonus),也就是一次*的奖金,通常在签约后一个月左右发放,数量从几千到数万美元不等。需要说明的是,这种签约奖金一般都是有年限规定的,也就是签约者必须在该公司工作满一定的时间,比如一年或两年。如果不到期满就另择他就的话,则需要根据剩下时间段所占的比例来退还给公司。

●录用通知书的*质
劳动合同法规定,双方劳动关系自用工之日起建立(劳动合同法第七条用人单位自用工之日起即与劳动者建立劳动关系)。很显然,录用通知书发出后双方并未建立劳动关系,员工没有任何义务产生。录用通知书的*质当为合同法中规定的要约(合同法第十四条要约是希望和他人订立合同的意思表示,该意思表示应当符合下列规定:(一)内容具体确定;(二)表明经受要约人承诺,要约人即受该意思表示约束)。值得注意的是,法律没有规定劳动合同也适用《合同法》,但是,《合同法》至少可以作为劳动合同的参考规范,劳动合同毕竟是合同的一种。
●通知发出后发生变故如何处理?
实践中,偶尔出现的问题是,单位发出录用通知书后,自身情况发生了变化,单位不想聘用该人员了,如何处理?
依合同法的规定,要约可以撤回和撤消。撤回要约的通知应当在要约到达受要约人之前或者与要约同时到达受要约人。撤销要约的通知应当在受要约人发出承诺通知之前到达受要约人。要约撤回的,其效果相当于未发出要约,单位不需要承担责任;要约撤销的,对方尚未承诺,合同不成立,单位一般不需要承担责任,除非已经造成员工实际损失。
因此,单位发出录用通知后发生变故的,应当立即以最快的方式赶在对方发出承诺通知前通知撤回或撤消要约。
●录用通知如何措辞?
合同法规定,要约人明确承诺期限或以其它方式表明要约不可撤销的,则要约不得撤销(合同法第十九条有下列情形之一的,要约不得撤销:(一)要约人确定了承诺期限或者以其他形式明示要约不可撤销;(二)受要约人有理由认为要约是不可撤销的,并已经为履行合同作了准备工作)。因此,如果录用通知书写明“请于x月x日之前答复”或“请于x月x日之前办理报到”,则该要约不可撤销,单位只能等待对方的决定。
因此,如果单位不能确保通知发出后不会有任何变化,就不要设置以上内容。
另外,如果通知里写明“请于x月x日之前办理报到”,则员工有权不经反馈即于原单位辞职和准备报到事宜。如果员工于原单位辞职后,单位发生变化不再聘用的,应当赔偿造成员工的*及差旅等损失。鉴于该要约是不可撤消的,如果员工坚持要求报到上班,则其要求也可能被司法支持。
●录用通知如何附条件?
有时,单位发出录用通知书后,才发现员工提供信息不实,比如背景调查反馈了与简历不一的负面信息,但又不足以构成欺诈。为了使单位能够合法和顺利地解脱,不再受录用通知书的羁束,可以事先在通知书中写明,“本通知书有效的前提是个人提供的信息全部真实无讹,如发现有虚假陈述或与真实情况有出入,则本通知书不生效(或自动失效)”。
